Course Description

 

This course covers—in an integrated weeklong format—the material from four separate classroom learning courses: Internal Inspections of a Broker-Dealer, Supervision in the Securities Industry I, Supervision in the Securities Industry II, and Responding to Regulatory Inquiries and Preparing for Examinations. Refer to individual course descriptions for further detail.

After completing this weeklong course, you will be able to:

  • Describe the types of broker-dealer structures and the responsibilities of the front, middle and back offices
  • Identify key risk areas: trading, credit, settlement, liquidity, operational, legal and reputational
  • Understand broker-dealer internal inspection programs
  • Discuss effective management of broker-dealer review processes
  • Understand how to conduct an internal audit of operations, branch offices and other areas
  • Explain the legal and regulatory framework that requires firms to supervise their employees' actions
  • Apply the obligations under NASD Rules 3010 and 3012 to establish effective supervisory systems, written supervisory procedures and supervisory control systems
  • Describe how to conduct the annual certification of compliance and supervisory procedures
  • Explain recordkeeping requirements under SEC Rules 17a-3 and 17a-4 and NASD Rule 3110
  • Conduct branch office supervision activities
  • Explain the regulatory requirements governing hiring of registered persons, including background checking, fingerprinting, U4 and U5 filing, state registration and continuing education
  • Know when and how to conduct additional levels of review prior to extending an offer
  • Understand when heightened supervision is required
  • Describe how supervisory practices, surveillance activities and inspections/independent testing are used collectively for supervision of sales and trading practices
  • Apply surveillance techniques to detect and prevent sales and trading practice abuses
  • Describe different types of regulatory inquiries, examinations and triggers
  • Respond effectively to regulatory requests
  • Identify current FINRA examination priorities and common findings
  • Conduct internal investigations and establish effective investigation strategies
  • Understand formal and informal actions, disciplinary proceedings, sanctions, enforcement investigations and arbitration proceedings
