Course Description

This course covers European regulation relevant to U.S. securities firms operating in the European Union (E.U.) or interacting with counterparties in the E.U., and serves as an interactive forum to better understand legal and regulatory applications. The curriculum covers the rules and regulations most relevant to investment firms (broker-dealers and advisers) doing business into the U.K. and across Europe: the Markets in Financial Instruments Directive (MiFID) and the Market Abuse Directive. The course looks at the fundamental issues of conducting business on a cross-border basis in Europe, and uses clear, practical examples of how today’s firms manage the interaction between rules applicable to U.S. parent firms, and those rules governing securities business in the U.K. and Europe. The final session focuses on the trans-Atlantic management of best execution and conflicts.

After completing this course, you will be able to:

  • Understand the process for how the EU implements its various Directives

  • Understand the scope of regulated activities for investment firms and investment activities
  • Outline organizational requirements for firms operating under MiFID
  • Explain requirements for internal audit, risk and compliance functions
  • Explain the E.U.’s rules and practicalities around “best execution”
  • Discuss the possible challenges associated with conducting business in E.U. countries
  • Explain key differences among the three MiFID client classifications
  • Recognize the challenges and importance of the Market Abuse Directive
  • Discuss enforcement and lessons learned from recent U.K. and E.U. cases
