SEC Approves Streamlined Outside Activities Rule

  • SEC Approves Streamlined Outside Activities Rule 
    The SEC on Sept. 15 approved FINRA’s rule proposal to streamline and reduce unnecessary burdens regarding existing requirements for the outside activities of associated persons, including registered persons. Part of our FINRA Forward rule modernization initiative, the new Rule 3290 replaces two existing rules—Rule 3270 (Outside Business Activities of Registered Persons) and Rule 3280 (Private Securities Transactions of an Associated Person)—and eliminates the reporting of non-investment related activities. In doing so, Rule 3290 will enhance efficiency while preserving protections for investors and members. FINRA will issue a regulatory notice to announce the effective date of the rule change.
     
  • Spot the Signs: How Pump-and-Dump Scams Work
    A new Investor Insights describes the hallmarks of pump-and-dump scams and offers tips on how to avoid becoming a victim. The article notes that scammers are increasingly communicating with targets through texts and encrypted messaging applications. In some instances, fraudsters might also contact investors who were harmed by the scams, engaging them in recovery scams by promising to help recoup their investment losses—for a fee. Member firms are welcome to share this article and all Investor Insights with customers.
Regulatory Reminders
  • Arbitration Rules: The SEC has requested comment on proposed amendments to our Codes of Arbitration Procedure, which would provide parties with greater input into replacing arbitrators. Comments are due to the SEC by Sept. 18.
     
  • Best Execution: FINRA published Regulatory Notice 26-15 on July 24 to request comment on how we can modernize our best execution guidance to facilitate investor protection and market integrity under the existing principles-based standard. Comments are due by Sept. 25.
     
  • Alternative Investments: FINRA filed a proposed rule change with the SEC to amend Rule 4522 (Periodic Security Counts, Verifications and Comparisons) to simplify position statement and reconciliation requirements for certain alternative investments. Comments are due to the SEC by Sept. 30.
     
  • Enhanced Tools to Protect Investors: FINRA filed proposed rule changes with the SEC to empower firms to intervene quickly to address suspected fraud and financial exploitation while maintaining appropriate safeguards and respecting customer autonomy. Comments are due to the SEC by Sept. 30.
     
  • TRF Operating Hours: FINRA’s Trade Reporting Facilities (TRFs) will extend their operating hours. Starting Dec. 6, they will operate from 9 p.m. ET on Sundays through 8 p.m. ET on Fridays, with a one-hour technical pause 8-9 p.m. ET, Mondays through Thursdays, excluding holidays.
